(NASDAQ: APPY), an emerging in vitro diagnostic company, has closed its previously announced registered direct offering for the sale of 1,605,000 shares of its no par value common stock (“Common Stock”) at a price of $1.02 per share, generating proceeds of $1.6 million before commissions and expenses. Additionally, for each share of Common Stock purchased by an investor, the Company issued to such investor a warrant to purchase one share of Common Stock. The warrants are exercisable at $1.22 per share, beginning June 30, 2012, and will expire June 30, 2017. The offering closed on December 30, 2011.
Ladenburg Thalmann & Co. Inc., a subsidiary of Ladenburg Thalmann Financial Services Inc. (NYSE Amex: LTS), acted as the exclusive placement agent for the transaction.
