(“Zymeworks” or the “Company”) (NYSE: ZYME), a clinical-stage biopharmaceutical company developing multifunctional biotherapeutics, today announced that independent proxy advisory firm Glass, Lewis & Co. (“Glass Lewis”) has recommended that Zymeworks shareholders vote FOR the Company’s plan to become a Delaware corporation (the “Redomicile”).
In its report, Glass Lewis states that Zymeworks’ case for the Redomicile is “compelling” and agrees with the Company that Zymeworks can benefit from the more favorable corporate law after the Redomicile. As outlined in Zymeworks’ proxy statement, the corporate laws of the State of Delaware may provide greater comparability to other U.S. public companies, many of which are incorporated in Delaware, including many of Zymeworks’ peers. The positive recommendation reaffirms the Company’s view that the Redomicile will provide greater opportunities to expand its institutional investor base and commercialize its products, ultimately, enhancing long-term value for its securityholders.
