miRagen Therapeutics Announces Proposed Public Offering of Common Stock

All of the common stock is being offered by miRagen

BOULDER, Colo., Feb. 05, 2018 (GLOBE NEWSWIRE) -- miRagen Therapeutics (NASDAQ:MGEN), a clinical-stage biopharmaceutical company focused on the discovery and development of RNA-targeted therapies, today announced that it intends to offer for sale 7,000,000 shares of its common stock in an underwritten public offering. All of the common stock is being offered by miRagen. In addition, miRagen has granted the underwriters a 30-day option to purchase up to an additional 1,050,000 shares of its common stock. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

Jefferies LLC, Evercore Group L.L.C. and Deutsche Bank Securities Inc. are acting as joint book-running managers for the offering, and Wedbush Securities Inc. and Oppenheimer & Co. Inc. are acting as co-lead managers.

miRagen intends to use the net proceeds from this offering for working capital and general corporate purposes, which include the funding of clinical development of its product candidates, and general and administrative expenses.
